Terms of Service

1. Acceptance of Terms

By accessing or using the Metriqo platform, website, API, and related services (collectively, the "Service") provided by Metriqo Technologies Inc. ("Metriqo", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Metriqo provides a cloud-based device telemetry and analytics platform that enables customers to collect, store, process, and visualize telemetry data from IoT devices and connected systems via a REST API and web dashboard.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration, and to keep your account information up to date. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

You must notify us immediately via our contact form if you become aware of any unauthorized use of your account or API tokens.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to transmit malware, viruses, or other harmful code
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to collect or store personal health information (PHI) without a separate BAA
  • Exceed your plan's rate limits or event quotas through automated means designed to circumvent restrictions
  • Resell or sublicense the Service without prior written consent

5. Your Data

You retain all rights, title, and interest in your telemetry data and any other data you submit to the Service ("Customer Data"). By using the Service, you grant Metriqo a limited, non-exclusive license to process, store, and display Customer Data solely for the purpose of providing the Service to you.

We will not access, use, or disclose Customer Data except as necessary to provide the Service, prevent or address security or technical issues, or as required by law. We will not use Customer Data for advertising purposes.

6. Service Plans and Payment

The Service is offered under multiple plans (Starter, Pro, Enterprise) with different features, limits, and pricing. Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law or as stated in an Enterprise agreement.

We reserve the right to modify pricing with 30 days' advance notice. Price changes will take effect at the start of your next billing cycle after the notice period.

7. Service Level Agreement

Metriqo targets 99.9% uptime for Pro plans and 99.99% for Enterprise plans, measured monthly. Scheduled maintenance windows are excluded from uptime calculations. Specific SLA terms, credits, and remedies for Enterprise customers are defined in individual Enterprise agreements.

8. API Usage

Access to the Metriqo API is governed by these Terms and the API documentation. API tokens are confidential credentials and must not be shared publicly or embedded in client-side code. We reserve the right to revoke API tokens that are compromised or used in violation of these Terms.

Rate limits apply per organization and per endpoint as described in the API documentation. We may adjust rate limits at any time to maintain service quality.

9. Intellectual Property

The Service, including its design, code, documentation, trademarks, and all related intellectual property, is owned by Metriqo Technologies Inc. and is protected by applicable intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features without prior written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. METRIQO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL METRIQO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

METRIQO'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO METRIQO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Termination

You may terminate your account at any time by contacting us via our contact form. We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. We will retain your Customer Data for 30 days after termination, during which time you may request an export. After 30 days, Customer Data will be permanently deleted.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, for paid accounts, by email. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
